For more than 30 years, Rick has served as counsel and trusted advisor to hundreds of innovators, executives, investors, and their businesses, helping them launch, grow, and transition their companies. During his career he has worked as an attorney in private practice and in-house, and has served as a corporate officer for multiple entities, including a role at Union Pacific’s technology incubator.
Rick serves as outside general counsel to many clients who appreciate his guidance on day-to-day legal and business matters. He routinely advises on corporate and transactional matters like entity formation and governance, financing, securities, mergers and acquisitions, joint ventures, contracts, and tax issues. Rick is also very knowledgeable about other areas of law pertinent to founders and investors, such as labor and employment issues, intellectual property strategy, and real estate matters.
He has represented clients in more than 100 public offerings and private placements. Rick also has considerable experience in venture capital and other start-up investments, bank and other loan financings, structured financing, sophisticated leasing arrangements, and acquisitions and divestures.
