David represents entrepreneurs and their startups in transactional matters ranging from debt and equity financings (including convertible notes, SAFEs, and Series Preferred rounds), mergers and acquisitions (M&A), other business transactions, and general corporate matters. He also represents sponsors with PE and VC fund formations and advises them on their portfolio company investments.
David has a strong background in finance and private equity. He previously spent a decade as managing director and general counsel at a Midwest-based private equity firm, where he provided guidance on investments in companies operating in the manufacturing, commercial services, technology, and healthcare services sectors. Prior to that, he worked at UBS Investment Bank, where advised clients on M&A and financing transactions from the firm’s New York and Tokyo offices.
A seasoned legal and business educator, David has also taught at Duke University, Tulane University, and North Carolina Central University on topics related to M&A, alternative investment funds, and corporate finance.
